These Terms of Service (“Terms”) govern your access to and use of the website located at maravecostarica.com (the “Site”), operated by Property Pro Partners, Inc. on behalf of Maravé, Resort & Residences (“Maravé,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
These Terms should be read together with our Privacy Policy, Cookie Policy, and Legal Disclaimer.
1. Acceptance of Terms
By visiting, browsing, or submitting any inquiry through the Site, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with and be bound by these Terms and all applicable laws and regulations. If you are accessing the Site on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Site after any such changes constitutes your acceptance of the revised Terms. The “Last Updated” date at the top of this page reflects when the Terms were most recently revised.
2. Nature of the Site and Its Content
2.1 Informational Purpose Only
The Site is provided for informational and marketing purposes only. Nothing on this Site constitutes an offer to sell, a solicitation of an offer to buy, or a binding commitment to sell any real estate interest, ownership unit, or related product. No transaction, purchase agreement, or reservation is created by use of this Site alone.
2.2 Pre-Sale Project
Maravé, Resort & Residences is a pre-sale development. All pricing, availability, floor plans, specifications, renderings, photographs, amenities, and project timelines presented on this Site are indicative only and subject to change without notice. Oral representations made by any sales personnel do not supplement or amend these Terms unless confirmed in writing.
2.3 No Financial or Legal Advice
Nothing on this Site constitutes financial, investment, legal, or tax advice. We strongly recommend that all prospective purchasers seek independent legal counsel qualified in Costa Rican real estate law, as well as independent financial and tax advice in their country of residence, before entering into any purchase agreement.
3. Intellectual Property
3.1 Ownership
All content on the Site, including but not limited to text, architectural renderings, photographs, videos, logos, graphics, icons, audio clips, page layouts, and software, is the property of Property Pro Partners, Inc., Maravé's authorized licensors, or third-party content providers, and is protected by copyright, trademark, and other applicable intellectual property laws.
3.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site and its content for your personal, non-commercial informational purposes only. This license does not include the right to:
- Reproduce, distribute, publicly display, or create derivative works from any Site content.
- Use any content from the Site in any commercial context or for commercial solicitation.
- Scrape, crawl, or otherwise extract data from the Site by automated means.
- Frame or mirror any portion of the Site on another website.
- Remove or obscure any copyright, trademark, or other proprietary notices.
3.3 LXR Hotels & Resorts Trademark
“LXR Hotels & Resorts” is a registered trademark of Hilton Worldwide Manage Limited, an affiliate of Hilton Worldwide Holdings Inc. (“Hilton”). Use of the LXR brand on this Site is pursuant to a limited, non-exclusive, non-transferable license granted to the Developer by Hilton. Hilton does not own, develop, or sell the residences described on this Site, and makes no representations, warranties, or guarantees with respect to the residences. The license may be terminated or may expire without renewal. Nothing on this Site grants any user a right to use the LXR trademark or any Hilton marks for any purpose.
4. User Conduct
By using this Site, you agree not to:
- Use the Site in any manner that violates applicable local, national, or international law or regulation.
- Transmit any unsolicited or unauthorized advertising or promotional material (“spam”).
- Knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, or any other malicious or technologically harmful code.
- Attempt to gain unauthorized access to any part of the Site, the server on which the Site is hosted, or any server, computer, or database connected to the Site.
- Attack or disrupt the Site via a denial-of-service attack or distributed denial-of-service attack.
- Use the Site for any purpose that is fraudulent, deceptive, or misleading.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Submit false, misleading, or inaccurate information through any form on the Site.
We reserve the right to report any breach of these conduct provisions to relevant law enforcement authorities and to cooperate with those authorities by disclosing your identity. In the event of such a breach, your right to use the Site will immediately cease.
5. Inquiry Submissions and Communications
5.1 Accuracy of Information
When you submit an inquiry, contact form, or any other communication through the Site, you agree to provide accurate, current, and complete information. We reserve the right to refuse or terminate any inquiry or communication where we have reason to believe it is submitted in bad faith, fraudulently, or in violation of these Terms.
5.2 Follow-Up Communications
By submitting an inquiry, you acknowledge that we may contact you by email, telephone, or SMS to follow up on your request. SMS communications are subject to the TCPA consent terms disclosed at the point of form submission and described fully in our Privacy Policy. Consent to receive marketing communications is not a condition of any purchase.
5.3 No Agency Relationship
Submitting an inquiry does not create a broker-client, agent-principal, or any other fiduciary relationship between you and Property Pro Partners, Inc. or Maravé. Any such relationship, if applicable, would be established only through a separate written agreement.
6. Third-Party Links and Services
The Site may contain links to third-party websites or services, including but not limited to virtual tour platforms, mapping services, the LXR Hotels & Resorts website, and social media platforms. These links are provided for convenience and informational purposes only. We do not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party website. Your use of any linked third-party site is governed entirely by that site's own terms and policies.
The virtual tour embedded on the Residences page is operated by a third-party provider. We make no warranty as to the accuracy, completeness, or continued availability of the virtual tour content.
7. Disclaimers and Limitation of Liability
7.1 Site Provided “As Is”
The Site and all content on it are provided on an “as is” and “as available” basis without any warranty of any kind, express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
We do not warrant that: (a) the Site will be uninterrupted, timely, secure, or error-free; (b) any information on the Site is accurate, complete, or current; (c) any defects in the Site will be corrected; or (d) the Site or the server that makes it available are free of viruses or other harmful components.
7.2 Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Property Pro Partners, Inc., Maravé, Resort & Residences, their respective directors, officers, employees, agents, contractors, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of, or inability to use, the Site or its content, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising out of or relating to these Terms or your use of the Site shall not exceed one hundred US dollars (USD $100).
7.3 Indemnification
You agree to indemnify, defend, and hold harmless Property Pro Partners, Inc., Maravé, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of or access to the Site; (b) your violation of these Terms; (c) your violation of any third-party rights, including any intellectual property or privacy rights; or (d) any content you submit to the Site.
8. Privacy and Cookies
Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. By using the Site, you consent to the data practices described in those policies to the extent you have provided the required consent through our cookie consent banner and inquiry forms.
9. Accessibility
We are committed to making this Site accessible to all users. If you experience any difficulty accessing any portion of the Site due to a disability, please contact us at marave@propertypropartners.com and we will make reasonable efforts to provide the information you need through an alternative means.
10. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Costa Rica, without regard to its conflict of law provisions. Where applicable, US federal law and the laws of the State of Florida (in respect of Property Pro Partners, Inc.'s operations) may also apply.
10.2 Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site, the parties shall first attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days from written notice of the dispute. If the dispute is not resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the Centro de Conciliación y Arbitraje de Costa Rica, or, at our election, before a court of competent jurisdiction in San José, Costa Rica.
Nothing in this section shall prevent either party from seeking interim or injunctive relief from a court of competent jurisdiction to protect its intellectual property rights or confidential information pending resolution of a dispute.
10.3 Class Action Waiver
To the extent permitted by applicable law, you waive any right to bring or participate in a class action, collective action, or representative proceeding against us in connection with any dispute arising from these Terms or your use of the Site.
11. Availability and Modifications to the Site
We reserve the right to modify, suspend, or discontinue any aspect of the Site at any time without notice or liability. We may restrict access to certain parts of the Site, or the entire Site, at our discretion. We will not be liable if for any reason the Site is unavailable at any time or for any period.
We may update, amend, or replace content on the Site at any time. Content may be out of date at any given moment and we are under no obligation to update it, although we endeavor to keep project information current.
12. Severability and Waiver
If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
13. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and Legal Disclaimer, constitute the entire agreement between you and Property Pro Partners, Inc. regarding your use of the Site, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and us with respect to the Site. A printed version of these Terms shall be admissible in judicial or administrative proceedings to the same extent as other business documents originally generated and maintained in printed form.
